  1.                          EMPLOYMENT AGREEMENT

  8.      EMPLOYEEMENT AGREEMENT by and between _ [Company], and _
  9. [Employee].
  10.      For good consideration, Company shall employ and the
  11. Employee agrees to be employed on the following terms:

  14.      1. EFFECTIVE DATE:
  15.         Employment shall commence on _, 19_, time being 
  16.         of the essence.

  19.      2. DUTIES:
  20.         Employee agrees to perform the following duties:

  26. incidental or implied from the foregoing, consistent with the
  27. background, training and qualifications of Employee or may be
  28. reasonably delegated as being in the best interests of the

  30. and expend best efforts on behalf of Company.  Employee further
  31. agrees to abide by all reasonable Company policies and
  32. decisions now or hereinafter existing.

  35.      3. TERM:
  36.         The Employee's employment shall continue for a period
  37.         of [_] years, beginning on the effective date of this

  41.      4. COMPENSATION:
  42.         The Employee shall be paid the following compensation:
  43.         a] Annual Salary: $_, paid on the payroll schedule

  45.         b] Such bonuses, vacations, sick leave, retirement
  46.            benefits and expense accounts as stated in the
  47.            Company manual for other management personnel or as
  48.            may be decided by the Company if said items are
  49.            discretionary with the Company.

  51.      5. TERMINATION:
  52.         This agreement may be earlier terminated upon:
  53.         a] Death of Employee or illness or incapacity that
  54.            prevents Employee from substantially performing for
  55.            [_] continous months or in excess of [_] aggregate
  56.            working days in any calender year.
  57.         b] Breach of agreement by Employee.

  60.      6. MISCELLANEOUS:
  61.         a] Employee agrees to execute a non-compete agreeement
  62.            as annexed hereto.
  63.         b] Employee agrees to execute a confidential
  64.            information and invention assignment agreement as
  65.            annexed hereto.
  66.         c] This agreeement shall not be assignable by either
  67.            party, provided that upon any sale of the business
  68.            by Company, the Company may assign this agreement to
  69.            its successor or employee may terminate same.
  70.         d] In the event of any dispute under this agreement, it
  71.            shall be resolved through binding arbitration in
  72.            accordance with the rules of the American
  73.            Arbitration Association.
  74.         e] This constitutes the entire agreement between the
  75.            parties.
